I guide clients, often in coordination with their tax advisors, in selecting the best type of business organization for their specific needs. Basic choices include a C corporation, S corporation, limited liability company, general partnership, and sole proprietorship.
After formation, I am also available to provide advice on governance, control, ownership transfer, and related business matters.
Selling and Buying a Business
The sale and purchase of a business may occur through an asset sale or a stock sale. I help clients anticipate and address the various legal issues and considerations that arise in these transactions.
When representing a seller, I focus on ensuring that the seller is properly paid for the assets or stock being sold and is not left responsible for the buyer’s activities after the sale.
When representing a buyer, I focus on helping the buyer avoid taking on liabilities created by the seller before the sale.
